Terms of Service

01Agreement to terms

These Terms form a binding agreement between you and NorthernMaple. Where you have signed a separate written agreement, statement of work, or order form with us (a "Master Agreement"), that Master Agreement governs and controls over any conflicting provision in these Terms with respect to the Services it covers.

02The Services

NorthernMaple provides operational-intelligence software and professional implementation services for resource-based and industrial organizations. We may update, enhance, or modify features of the Services over time. We may also suspend or discontinue a feature where reasonably necessary, and will use reasonable efforts to notify affected customers of material changes.

03Accounts & access

• You are responsible for maintaining the confidentiality of account credentials and for all activity under your account;
• You must provide accurate information and keep it up to date;
• You must promptly notify us of any unauthorized use or suspected security breach.

04Acceptable use

You agree not to, and not to permit others to:

• Use the Services in violation of any applicable law or third-party right;
• Upload content you do not have the right to use, or that is unlawful, harmful, or infringing;
• Attempt to gain unauthorized access to, disrupt, or reverse engineer the Services or their underlying systems;
• Use the Services to build a competing product, or to resell them without our written consent;
• Introduce malware or otherwise interfere with the integrity or performance of the Services.

05Customer data & ownership

As between the parties, you retain all right, title, and interest in the data and content you provide to or process through the Services ("Customer Data"). You grant NorthernMaple a limited, non-exclusive license to host, process, and use Customer Data solely to provide, secure, and support the Services and as otherwise instructed by you. Our handling of personal information is described in our Privacy Policy.

06Intellectual property

The Services, including the platform, software, models, interfaces, documentation, and all related intellectual property, are and remain the exclusive property of NorthernMaple and its licensors. Except for the limited rights expressly granted to you, no rights are transferred. Any feedback you provide may be used by us without restriction or obligation.

07Fees & payment

Fees for the Services are set out in the applicable order form, statement of work, or subscription plan. Unless otherwise stated, fees are exclusive of applicable taxes, are payable in Canadian dollars, and are non-refundable except as required by law or expressly agreed. Late amounts may be subject to interest and suspension of access.

08Third-party services

The Services may integrate with third-party products and platforms that you choose to connect. Your use of those third-party services is governed by their own terms, and NorthernMaple is not responsible for their availability, content, or practices.

09Disclaimers

The Services are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, NorthernMaple disclaims all warranties, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. AI-generated outputs are intended to support — not replace — professional judgment, and you are responsible for reviewing outputs before relying on them for operational or financial decisions.

10Limitation of liability

To the fullest extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, or data. Except for liability that cannot be limited under applicable law, NorthernMaple's total aggregate liability arising out of or related to the Services will not exceed the amounts paid by you to NorthernMaple for the Services giving rise to the claim in the twelve (12) months preceding the event.

11Term & termination

These Terms apply while you use the Services. Either party may terminate as set out in the applicable Master Agreement, or — where none exists — on reasonable notice. We may suspend or terminate access immediately if you materially breach these Terms or create risk to the Services or other users. Provisions that by their nature should survive termination will survive.

12Governing law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles. The parties submit to the exclusive jurisdiction of the courts located in Ontario, Canada, subject to any mandatory rights you may have under local law.

13Changes to these terms

We may update these Terms from time to time. When we make material changes, we will revise the "Last updated" date above and, where appropriate, provide additional notice. Your continued use of the Services after the changes take effect constitutes acceptance of the updated Terms.
